Welcome to Sheets & Cells. These Terms & Conditions ("Terms") govern your use of sheetsandcells.com (the "Site"), the Sheets & Cells Excel Add-in (the "Add-in"), our newsletter, downloadable templates, interactive tools, and any related services (collectively, the "Services") provided by Sheets & Cells ("we," "us," "our").
By accessing or using the Services, you agree to be bound by these Terms. If you don't agree, please don't use the Services.
1. Acceptance of Terms
By using the Site, downloading a template, subscribing to the newsletter, installing the Add-in, or using any tool, you confirm that:
- You are at least 13 years old (or the age of digital consent in your country)
- You have the legal capacity to enter into a binding agreement
- Your use complies with all applicable laws in your jurisdiction
- You accept these Terms in full
2. Description of Services
Sheets & Cells provides educational content, downloadable Excel templates, interactive web tools, and a commercial Excel Add-in. The Services are designed to help users learn Excel and related spreadsheet software more effectively.
Free elements include: function guides, error fix pages, downloadable templates, interactive web tools (with usage limits on AI-powered features), and the newsletter.
Paid elements include: the Sheets & Cells Add-in (Basic, Pro, Team, and Enterprise tiers), custom Enterprise integrations, and (in future) online courses.
3. Use of the Site
You may use the Site for personal, educational, and commercial purposes subject to these Terms. You agree not to:
- Copy, redistribute, or resell substantial portions of our content as your own
- Use automated scrapers, bots, or crawlers that place excessive load on our servers
- Attempt to gain unauthorized access to any part of the Services
- Reverse engineer, decompile, or otherwise attempt to derive source code of the Add-in
- Use the Services for illegal purposes or in violation of any applicable law
- Interfere with or disrupt the Services or servers
- Impersonate any person or entity, or misrepresent your affiliation
- Upload viruses, malware, or malicious code
Violation of these terms may result in immediate termination of your access without notice.
4. Intellectual Property
Our content: All content on the Site — including function guides, error solutions, tutorials, blog posts, videos, graphics, logos, and the Add-in software — is the property of Sheets & Cells or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Templates: The downloadable Excel templates on Sheets & Cells are licensed to you for personal and commercial use. You may modify, use in your business, and share internally with your team. You may not resell templates as-is or redistribute them from your own website. Full details in our Disclaimer.
Attribution: Attribution is appreciated but not required for template use. If you feature our templates in a course, book, or tutorial, please email us — we may share for wider promotion.
Third-party trademarks: Microsoft, Excel, Google Sheets, Claude, ChatGPT, and other trademarks referenced on the Site belong to their respective owners. We use these marks solely for identification and educational reference.
5. The Add-in — Purchase, License, and Refunds
5.1 License grant
When you purchase a Basic, Pro, Team, or Enterprise license for the Add-in, we grant you a non-exclusive, non-transferable, worldwide license to use the Add-in in accordance with your tier's terms. Free tier users receive a similar license with usage limits.
5.2 One-time vs subscription
Basic ($12) and Pro ($29) licenses are one-time purchases. You buy once, use forever, and get all future feature updates free. Team ($12/user/month) and Enterprise (annual) are subscription-based.
5.3 Refunds
30-day money-back guarantee on all Add-in purchases. If you're not satisfied within 30 days of purchase, email info@sheetsandcells.com for a full refund, no questions asked.
After 30 days, refunds are provided at our discretion for specific circumstances (e.g., undisclosed technical issues we cannot resolve).
5.4 Team and Enterprise tiers
Team and Enterprise licenses are governed by our Master Service Agreement (MSA), available on request. Cancellation policies, SLA guarantees, and data processing terms are specified in the MSA.
5.5 Fair use of AI features
All tiers include AI-powered features (Formula Generator, Error Explainer, AI Assistant) with usage limits appropriate to the tier. Excessive automated use, scripted requests, or attempts to bypass tier limits may result in temporary suspension. We monitor for abuse but do not review user prompt content for any other purpose.
6. AI-Generated Content
The Add-in and several tools on the Site use artificial intelligence (primarily Anthropic's Claude) to generate formulas, explanations, and suggestions. AI output is not guaranteed accurate. See our Disclaimer for the full statement on AI-generated content.
You are responsible for reviewing, testing, and validating any AI-generated formula, suggestion, or code before using it in production workbooks. We are not liable for damages arising from reliance on AI output without validation.
7. User-Generated Content
If you post comments, submit questions via forms, or otherwise provide content on the Services, you grant us a worldwide, royalty-free, non-exclusive license to use, display, and reference that content for the purpose of operating and improving the Services.
You retain ownership of your content. We do not sell, sublicense, or use your content for advertising. We may remove content that violates these Terms without notice.
8. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- Any errors in the Services will be corrected
- Content, formulas, or AI-generated output will be accurate for your specific use case
- The Services will meet your specific requirements

9. Limitation of Liability
To the maximum extent permitted by law, Sheets & Cells and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from your use of the Services.
Our total liability for any claim arising from the Services shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 (whichever is greater).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Sheets & Cells and its team from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your misuse of the Services
- Your violation of any law or third-party rights
- Content you submit or post through the Services
11. Third-Party Services and Links
The Services may contain links to or integrate with third-party services (Microsoft AppSource, Anthropic Claude API, payment processors, analytics providers). We are not responsible for the availability, content, privacy practices, or terms of third-party services. Your interaction with any third-party service is governed by that service's terms.
12. Modifications to the Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes adding features, removing features, changing pricing for future purchases (existing one-time license holders are not affected by price changes), or ending free-tier availability.
For material changes affecting existing paid customers, we will provide advance notice by email.
13. Termination
You may stop using the Services at any time. To cancel a paid subscription, follow the cancellation instructions in your account or email info@sheetsandcells.com.
We may suspend or terminate your access to the Services if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice where feasible.
Termination does not affect any rights or obligations that survived the termination date (e.g., limitation of liability, intellectual property).
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Pakistan (our headquarters), without regard to conflict of law principles. Any disputes will be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to arbitration or the appropriate courts in our jurisdiction.
For EU customers, this does not affect any consumer protection rights you have under the mandatory laws of your country of residence.
15. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted on this page. The "Last updated" date at the top reflects the most recent revision. For material changes affecting existing users, we will notify you by email or prominent site notice.
Your continued use of the Services after changes constitutes acceptance of the updated Terms.
16. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, Disclaimer, and any additional agreements you enter with us (e.g., Enterprise MSA), constitute the entire agreement between you and Sheets & Cells.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Our failure to enforce any provision doesn't waive our right to enforce it later.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
